These terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
10. Governing Law
Emma Jae Studio is not liable for indirect, incidental, or consequential damages arising from the use of delivered designs, including but not limited to lost profits or business interruption. Our total liability for any claim is limited to the amount paid by Client for the project in question.
9. Limitation of Liability
Deposits are non-refundable once work has begun, as they secure your project slot and cover initial creative time. If a project is cancelled partway through, Client is responsible for payment for work completed to that point. If cancellation occurs before any work has begun, the deposit will be refunded in full.
8. Cancellation & Refunds
Unless otherwise agreed in writing, Emma Jae Studio retains the right to display completed work in its portfolio, on its website, and on social media for promotional purposes.
7. Portfolio Rights
Upon receipt of full payment, Client receives ownership of the final, approved deliverables for the agreed use. Emma Jae Studio retains ownership of preliminary concepts, unused design directions, and working files unless otherwise agreed in writing. Any custom illustration or artwork remains the intellectual property of Emma Jae Studio and may not be resold, reused for unrelated projects, or claimed as Client's own original creation.
6. Intellectual Property & Usage Rights
Each package includes a set number of revision rounds, specified in your proposal. Additional rounds beyond that number may incur an extra fee, quoted before work begins.
5. Revisions
Most design work requires a 50% deposit before work begins, with the remaining 50% due upon delivery of final files. Larger packages may be offered as monthly installments, as specified in your invoice. Work will not begin, and files will not be released, until payment terms are met.
4. Payment Terms
Projects generally move through discovery, concepts, revisions, and final delivery. Timelines are estimates and depend on timely client feedback — we ask for feedback within 48 hours where possible to keep a project moving. Delays in client response may extend the delivery date accordingly.
3. Project Process
Emma Jae Studio provides graphic design, branding, illustration, website design, and creative direction services as outlined in an individual project proposal or invoice. The specific scope, deliverables, and price for each project are defined separately and take precedence over this general document where they differ.
